1. Services
Kodikas Lab provides software engineering, cloud management, information security, and software products as described on our website or in a separate statement of work, order form, or master services agreement (“MSA”).
If a signed agreement conflicts with these Terms, the signed agreement controls for that engagement. These Terms apply to general website use and standard product access unless otherwise agreed in writing.
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Notify us immediately of unauthorized use.
3. Acceptable use
You agree not to:
- Use the Services for unlawful, harmful, or fraudulent purposes
- Violate applicable laws, including data protection, telecommunications, and export controls
- Send unsolicited messages or messages without proper recipient consent (including SMS/MMS)
- Attempt to gain unauthorized access to systems, data, or accounts
- Reverse engineer, scrape, or overload our infrastructure except as permitted by law
- Infringe intellectual property or privacy rights of others
- Use AI features to generate illegal content or to impersonate others without consent
We may suspend or terminate access for violations of these Terms.
4. SMS and communications
Where you use messaging features, you must obtain and document recipient consent before sending texts. Our SMS Messaging Consent page describes required disclosures. You are responsible for compliance with carrier rules, TCPA (where applicable), and local telecommunications laws.
5. Fees and payment
Paid Services are billed according to your quote, order form, or MSA. Unless stated otherwise, fees are non-refundable except as required by law or expressly agreed in writing. Late payments may incur suspension of Services after notice.
6. Intellectual property
Our property
Kodikas Lab and its licensors own the Services, website content, trademarks, and pre-existing materials. Except for rights expressly granted to you, no license is implied.
Your content
You retain ownership of data and content you submit. You grant us a limited license to host, process, and use that content solely to provide and improve the Services, comply with law, and enforce these Terms.
Deliverables
Ownership of custom deliverables is defined in your project agreement. Unless otherwise specified, upon full payment you receive the rights agreed in your contract to use deliverables for your internal business purposes.
7. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect such information with reasonable care and use it only for the permitted purpose. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without restriction.
8. Warranties and disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may be inaccurate; you are responsible for reviewing outputs before relying on them.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODIKAS LAB AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
10. Indemnification
You will defend and indemnify Kodikas Lab against third-party claims arising from your misuse of the Services, your content, violation of these Terms, or failure to obtain required consents (including for messaging), except to the extent caused by our gross negligence or willful misconduct.
11. Term and termination
These Terms remain in effect while you use the Services. Either party may terminate a paid engagement as set forth in the applicable agreement. We may suspend or terminate access immediately for material breach or legal requirement. Upon termination, your right to use the Services ends; sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.
12. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Kodikas Lab is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer protection laws in your country require otherwise.

13. Changes
We may modify these Terms by posting an updated version on this page. Continued use after the effective date constitutes acceptance of the revised Terms. Material changes to paid engagements may require separate notice under your agreement.
14. Miscellaneous
- Entire agreement — These Terms, the Privacy Policy, and any signed agreement together form the applicable contract.
- Severability — If any provision is unenforceable, the remainder stays in effect.
- No waiver — Failure to enforce a provision is not a waiver of future enforcement.
- Assignment — You may not assign these Terms without our consent. We may assign them in connection with a business transfer.
